Brobot ONE Service Agreement

Version 2026-10-31 · Effective October 31, 2026

This Brobot ONE Service Agreement (“Agreement”) governs the provision of Brobot ONE services by The Brobot LLC, a Florida limited liability company (“Brobot”), to the individual or business entity accepting this Agreement (“Customer”). This Agreement becomes effective on the date and time of Customer’s electronic acceptance at checkout.

Recurring Payment Authorization. By accepting this Agreement, Customer authorizes The Brobot LLC and its payment processor to retain payment credentials and automatically charge Customer’s provided card for recurring subscription payments as described in Section 3.3.

1. Orders and Services

1.1 Order Details. Customer’s subscription plan, number of lines, monthly subscription fee, equipment selection, and service commitment are identified at checkout and in the order confirmation (collectively, the “Order”). This Agreement governs the services purchased under the Order (the “Services”).

1.2 Platform and Plans. Brobot ONE is a cloud-based business communications and customer relationship management platform. Services are available in the following tiers:

Voice. CRM-integrated voice calling through HighLevel’s LC Phone system, call recording, and contact management.

Connect. All Voice features, together with two-way SMS/MMS messaging and CRM automation features.

Growth. All Connect features, together with advanced CRM workflows, pipeline management, reputation management, and reporting.

1.3 Provisioned Lines. Each line consists of one provisioned telephone number and one device slot. The line count corresponds to the number of physical desk phones deployed at Customer’s office. Subscription pricing is based on the selected tier and line count. An upgrade replaces the prior tier’s subscription fee with the applicable fee for the new tier; tier fees are not cumulative.

1.4 Service Infrastructure. Brobot configures and supports the Services through HighLevel’s LC Phone system and its underlying communications providers. Compatible desk phones connect through HighLevel’s native SIP integration. Brobot provides platform configuration, equipment provisioning, and customer support and does not operate the underlying communications networks.

2. Activation and Support

2.1 Service Start Date. The subscription billing period and, where applicable, the initial 24-month service term begins 10 days after Customer places the Order (the “Service Start Date”), subject to the adjustments in this Section. No monthly subscription fee is charged during the initial 10-day provisioning period.

2.2 Activation Delays. If voice service is not ready on the scheduled Service Start Date because of a delay attributable to Brobot or its service providers, the Service Start Date will be deferred until voice service is ready. Delays attributable to Customer or Customer’s existing carrier do not defer the Service Start Date. Customer delays include missing porting documents, inaccurate account information, and failure to respond to provisioning requests. Messaging registration or approval delays do not defer the Service Start Date.

2.3 Inability to Activate. If Brobot cannot activate voice service within 60 days after the Order despite reasonable efforts, either party may cancel without an early termination fee. Customer must return any Brobot-owned equipment in accordance with Section 6.

2.4 Number Porting. Brobot will initiate an inbound number transfer after receiving a completed Letter of Authorization and a recent bill from Customer’s existing carrier. Porting timelines depend on the carriers involved and are not guaranteed. Customer remains responsible for existing carrier service and charges until the transfer is complete. Upon termination, Brobot will cooperate with a valid request to transfer Customer’s numbers to another provider. An outbound transfer does not release Customer from fees or other obligations under this Agreement.

2.5 Support and Installation. Brobot provides telephone and email support during its published business hours, ships preconfigured phones, and provides remote setup assistance. On-site installation and network cabling are excluded. Customer is responsible for reliable internet access, electrical power, and a suitably configured office network.

3. Fees and Payment

3.1 Subscription Fees. Monthly subscription fees are stated in the Order and billed in advance beginning on the Service Start Date. The subscription fee includes the platform, included support, and billing costs. Brobot does not add a separate payment processing fee or card surcharge.

3.2 Separate Charges. Subscription fees exclude AI usage, applicable taxes, government and carrier fees, separately purchased equipment or hardware upgrades, and separately authorized services. Hardware upgrades selected with the Order are charged at checkout. AI charges are governed by Section 5, and messaging registration and campaign fees are governed by Section 7.

3.3 Payment Terms and Automatic Billing. All charges are payable in U.S. dollars. Customer authorizes Brobot and its payment processor to retain the payment credentials provided at checkout and automatically charge that card, or a replacement card Customer subsequently provides, for the monthly subscription fee stated in the Order, together with applicable taxes and recurring carrier fees disclosed and authorized for the account. The first subscription charge occurs on the Service Start Date determined under Section 2, normally 10 days after the Order. Subsequent charges occur monthly in advance at the beginning of each billing cycle, including any month-to-month continuation under Section 10.2. Subscription fee changes remain subject to Section 3.5.

This recurring payment authorization remains effective until cancellation takes effect under Section 10 or Customer revokes the authorization by emailing info@thebrobot.com. Revocation stops future automatic subscription charges but does not itself cancel Services or discharge amounts owed under this Agreement. Customer must arrange an alternative payment method for amounts that remain due. Customer represents that it is authorized to use the provided card and is responsible for keeping payment information current.

This authorization covers recurring subscription billing. AI wallet funding and automatic reloads require the authorization described in Section 5.4; other separately authorized charges remain subject to their applicable terms. Fees are non-refundable except as required by applicable law.

3.4 Nonpayment. Brobot may suspend Services if payment remains outstanding more than 10 days after the due date. An account suspended for nonpayment may be terminated if it is not brought current within 30 days after suspension. Applicable early termination fees remain payable under Section 10.

3.5 Subscription Price Protection. Customer’s monthly subscription fee is fixed during the initial 24-month term. A plan or line-count change requested by Customer is subject to the pricing applicable to that change. Brobot may change subscription fees for month-to-month Services on at least 30 days’ written notice. Separate charges identified in Section 3.2 are excluded from the subscription price lock and may change as provided in this Agreement.

4. Acceptable Use and Usage Review

4.1 Included Business Usage. Subscriptions include unlimited calling and, for Connect and Growth, unlimited texting for normal business use, subject to this Section. Brobot does not assess per-minute or per-message charges for ordinary business usage.

4.2 Review Thresholds. Brobot reviews usage against the following thresholds for each provisioned line per calendar month. Usage is not pooled across lines.

Voice. 1,000 combined inbound and outbound calling minutes per line.

SMS/MMS. 1,500 message segments per line for Connect and Growth. Segment counts are determined by the underlying carrier infrastructure.

4.3 Usage Review Process. Usage above a review threshold is subject to review and does not automatically result in an overage charge. Brobot will contact Customer regarding usage patterns and provide at least 30 days’ written notice and an opportunity to adjust usage before implementing a usage-related change to Services or pricing, except for prohibited use under Section 4.4. Any usage-related subscription price change during the initial 24-month term requires Customer’s agreement and remains subject to Section 3.5. Material service reductions remain subject to Section 12.2.

4.4 Prohibited Use. Unsolicited automated dialing, robocalling, bulk outreach to recipients who have not consented, and other activity inconsistent with normal business communications are prohibited regardless of volume. Brobot may immediately suspend Services for activity indicating prohibited use. Authorized, consent-based CRM follow-up, appointment reminders, and workflow automations are permitted.

5. AI Features and Usage Charges

5.1 Availability. Certain plans provide access to Voice AI, Conversation AI, Reviews AI, and related artificial intelligence tools (“AI Features”). Access to AI Features does not include an allowance for AI consumption unless expressly stated in the plan description accepted with the Order.

5.2 Usage Rates. AI consumption is billed separately from subscription fees at Brobot’s applicable rates, as displayed in Customer’s portal. Billable units may include AI agent minutes, conversation responses, review replies, and tokens. Charges are calculated using actual consumption and the applicable per-unit rates.

5.3 Rate Changes. AI rates are variable and are not subject to the subscription price lock. Brobot will provide at least 30 days’ notice of material AI rate increases.

5.4 Prepaid Wallet. AI charges are deducted from a prepaid wallet funded through Customer’s payment method on file. Customer is responsible for maintaining a sufficient balance. If Customer enables automatic reload, Customer authorizes charges in the amounts and subject to the limits selected in the portal. Unused funds remain available while the account is active and are non-refundable except as required by law. An interruption caused by insufficient wallet funds does not constitute a service failure by Brobot or excuse Customer’s payment obligations.

5.5 Customer Oversight. AI Features may generate inaccurate or incomplete content. Customer is responsible for supervising its use of AI Features, reviewing AI-generated communications and other outputs, and ensuring that its use complies with applicable law. Brobot is not liable for decisions or actions based on AI output, subject to applicable law.

6. Equipment

6.1 Included Equipment. Customers selecting a 24-month service commitment receive Grandstream desk phones at no additional equipment charge, with one device provided per provisioned line. These devices remain Brobot’s property throughout the service relationship, including any month-to-month continuation after the initial term.

6.2 Equipment Returns. Customer must return Brobot-owned equipment within 30 days after Services end, regardless of the reason for termination. Brobot will provide return instructions. Customer is responsible for return shipping unless Brobot provides a prepaid label. Ordinary wear and tear is permitted. Customer is responsible for the replacement cost of unreturned devices and devices damaged beyond ordinary wear. Brobot will disclose the replacement cost for the applicable model in writing before charging Customer.

6.3 Purchased Equipment. Customer may purchase equipment outright in place of accepting the 24-month commitment. Purchased devices belong to Customer, and the associated Services are month-to-month with no minimum service term. Upon request after termination, Brobot will assist with reconfiguration of purchased devices for use with another provider.

6.4 Configuration. Brobot provisions and configures equipment for use with the Services. Customer must not modify, reflash, or remove device configurations without Brobot’s prior authorization.

7. Messaging Registration and Communications Compliance

7.1 Messaging Registration. Customers sending SMS/MMS from local numbers through Connect or Growth must complete applicable A2P 10DLC brand and campaign registration. Toll-free numbers are subject to a separate carrier verification process. Messaging will not be activated until the registration or verification applicable to the number has been approved.

7.2 Registration and Campaign Fees. Customer is responsible for one-time brand and campaign registration charges and recurring carrier fees associated with active campaigns. Brobot passes these charges through at cost without markup. Charges are established by The Campaign Registry and the applicable carriers and may change without notice. Brobot assists with registration but does not guarantee approval or processing times.

7.3 Registration Materials. Customer must provide the business information and compliance materials required for registration, including an active business website with a compliant opt-in form, Privacy Policy, and terms of service. Assistance creating these materials is available as a separate billable service.

7.4 Customer Compliance. Customer is responsible for using the Services in compliance with applicable federal, state, and local communications laws, including the Telephone Consumer Protection Act, CAN-SPAM Act, and applicable state telemarketing laws. Brobot assumes no liability for Customer’s failure to comply with those requirements.

8. Customer Data, Privacy, and Call Recording

8.1 Recording and Transcription. The Services may record and transcribe calls. Customer is responsible for providing required notices and obtaining legally required consent before recording. Florida generally requires all parties’ consent to call recording. Acceptance of this Agreement does not constitute consent on behalf of call participants.

8.2 Data Availability and Export. Recordings, transcripts, and contact data remain available in Customer’s account while Services are active. Customer may request an export of contacts, recordings, and conversation history within 30 days after Services end. After that period, Brobot may delete the data.

8.3 Privacy Policy. Brobot’s Privacy Policy describes its collection and use of information in connection with the Services.

9. Emergency Calling

9.1 Service Limitations. The Services are internet-based. The current HighLevel LC Phone SIP setup does not provide a customer-accessible method to register an emergency service address. The ability to dial 911 does not establish that the caller’s physical location is automatically transmitted or that the call is routed directly to the appropriate local emergency response center. Customer must not assume that emergency responders will receive an accurate location automatically. Calling may be unavailable during an internet or power outage.

9.2 Emergency Access and User Notice. Brobot discloses the emergency-calling limitations applicable to Customer’s configuration. Customer must inform all users of those limitations, maintain an alternative means of contacting emergency services, and not rely on Brobot ONE as its sole means of emergency communication. A person placing an emergency call must be prepared to provide the exact physical location and callback number verbally. Nothing in this Section limits obligations that applicable law does not permit a party to exclude.

10. Term, Renewal, and Termination

10.1 Initial Term. Unless Customer purchases equipment outright under Section 6.3, the initial service term is 24 months beginning on the Service Start Date.

10.2 Month-to-Month Continuation. After the initial term, Services continue month-to-month at the existing subscription fee unless changed in accordance with Section 3.5. No early termination fee applies after the initial term. Customers purchasing equipment outright receive month-to-month Services from the Service Start Date.

10.3 Cancellation Procedure. Customer must submit cancellation requests in writing to info@thebrobot.com. Verbal requests are not accepted. Cancellation of month-to-month Services requires 30 days’ written notice and takes effect at the end of the billing cycle in which that notice period expires. Cancellation during the initial 24-month term takes effect at the end of the current paid billing cycle and is subject to Section 10.4. Fees remain payable through the applicable cancellation date.

10.4 Early Termination Fee. If Customer cancels before the end of the initial 24-month term, Customer must pay an early termination fee equal to 50% of the subscription fees remaining for the balance of that term, calculated using the monthly subscription fee in effect at cancellation. The calculation excludes taxes and unincurred variable charges, including AI usage and carrier fees. Customer must also return Brobot-owned equipment under Section 6.

10.5 Termination for Service Failure. No early termination fee applies if Customer cancels because Brobot materially fails to provide the Services and does not remedy that failure within 30 days after receiving Customer’s written notice. The separate cancellation rights in Sections 2.3 and 12.2 also apply.

10.6 Outstanding Obligations. Cancellation, termination, or number transfer does not discharge charges already incurred, applicable early termination fees, or equipment return and replacement obligations.

11. Disclaimers and Limitation of Liability

11.1 Service Disclaimer. The Services are provided “as is.” To the extent permitted by applicable law, Brobot disclaims express and implied warranties regarding uptime, call quality, message deliverability, and fitness for a particular purpose. The Services depend on third-party infrastructure and equipment, including GoHighLevel, Twilio, and Grandstream. Brobot is not liable for outages, degradation, or failures caused by those providers.

11.2 Excluded Damages. To the extent permitted by applicable law, Brobot is not liable for indirect, incidental, special, or consequential damages arising from or relating to the Services, including lost revenue, missed calls, and failed message delivery.

11.3 Liability Cap. To the extent permitted by applicable law, Brobot’s total liability to Customer for any claim arising from or relating to the Services or this Agreement will not exceed the subscription fees Customer paid during the 90 days preceding the claim.

12. Changes to Services and Agreement

12.1 Agreement Changes. Brobot may amend this Agreement and will provide notice of material amendments by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the amended Agreement, subject to the initial-term subscription price protection in Section 3.5 and service protection in Section 12.2.

12.2 Service Changes. Brobot may change features, infrastructure providers, and included applications and will make reasonable efforts to notify Customer of changes that materially affect functionality. During the initial 24-month term, Brobot will not materially reduce the purchased Services without Customer’s consent. If a change materially reduces those Services, Customer may cancel without an early termination fee.

13. Notices, Governing Law, and Electronic Acceptance

13.1 Contact Information. Questions, billing disputes, service requests, and written cancellation notices should be directed to The Brobot LLC:

Email: info@thebrobot.com

Telephone: 980-268-3833 (980-BOT-DUDE)

Business location: Ocala, Florida

13.2 Governing Law and Venue. Florida law governs this Agreement, without regard to conflict-of-law principles. Disputes arising under this Agreement will be resolved in Marion County, Florida.

13.3 Electronic Acceptance. By selecting the agreement checkbox at checkout and entering a full name and title, the accepting individual acknowledges having read and agreed to this Agreement and the policies referenced in it. An individual accepting on behalf of a business represents that the individual has authority to bind that business.

13.4 Electronic Signature and Records. Customer agrees that selecting the agreement checkbox and entering a name constitutes an electronic signature with the same legal effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act and the Florida Uniform Electronic Transaction Act. Brobot retains the accepting individual’s name and title, acceptance date and time, accepted Agreement version, and technical information such as IP address and browser information. Brobot emails Customer a link to the accepted version. Customer may print or save a copy for its records.
